Terms of Service

These Terms of Service ("Terms") govern your use of Murray CRM ("Murray," "the Service"), operated by MurgEx ("we," "us," "our"), a California limited liability company. By accessing or using Murray CRM, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using Murray CRM, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using Murray CRM on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
Murray CRM is a multi-tenant communications platform designed for trucking and logistics companies. The Service provides unified messaging (SMS, email, voice), AI-assisted draft generation, contact management, and integration with third-party services including RingCentral, Gmail, Samsara, and TMSFalcon.
3. User Accounts
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must be at least 18 years old to use Murray CRM.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Send unsolicited messages (spam) or violate the Telephone Consumer Protection Act (TCPA).
- Attempt to gain unauthorized access to other users' accounts or data.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to store or transmit malicious code.
- Resell or redistribute the Service without written authorization.
5. Data Ownership and Intellectual Property
- Your data: You retain all rights to the data you input into Murray CRM, including contacts, messages, files, and records. We do not claim ownership of your data.
- Our platform: Murray CRM, including its source code, design, features, AI models, and documentation, is the intellectual property of MurgEx and is protected by copyright, trade secret, and other intellectual property laws.
- AI-generated content: Drafts, summaries, and other content generated by Murray's AI features are provided as suggestions. You are responsible for reviewing and approving all AI-generated content before sending.
6. Subscription and Billing
- Murray CRM may be offered as a free trial, monthly subscription, or annual subscription.
- Pricing is subject to change with 30 days' notice.
- Subscriptions automatically renew unless cancelled before the renewal date.
- Refunds are provided on a case-by-case basis at our discretion.
- We reserve the right to suspend accounts with overdue payments after 15 days' notice.
7. Service Availability and Support
- We target 99.9% uptime but do not guarantee uninterrupted access.
- Scheduled maintenance will be communicated at least 24 hours in advance when possible.
- Support is provided via email during business hours (Pacific Time).
8. Termination
- You may cancel your account at any time by contacting us.
- We may suspend or terminate your account for violation of these Terms with reasonable notice.
- Upon termination, your data will be retained for 90 days, after which it will be permanently deleted.
- You may request a data export before account closure.
9. Disclaimers
Murray CRM is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI-generated content (drafts, summaries, translations) may contain errors. You are solely responsible for verifying the accuracy of AI-generated content before use.
10. Limitation of Liability
To the maximum extent permitted by law, MurgEx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of Murray CRM.
Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless MurgEx, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Contra Costa County, California, under the rules of the American Arbitration Association. You waive any right to a jury trial.
13. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of Murray CRM after the effective date constitutes acceptance of the modified Terms.
